These Terms of Service explain the terms and conditions that apply when you visit our website, communicate with us, purchase our services, or work with Byte Nova IT on a project.

By using our website or engaging our services, you agree to these Terms of Service.

1. Our Services

Byte Nova IT provides a range of digital and technology services, including but not limited to:

  • Website design and development

  • Custom web application development

  • Mobile app development

  • eCommerce website development

  • Laravel and custom software development

  • SEO services

  • Digital marketing

  • Social media marketing

  • Graphic and UI/UX design

  • Video and creative content services

  • Business automation

  • Domain and web hosting services

  • Server and network solutions

  • Website maintenance and technical support

The exact scope of services, features, pricing, delivery time, and project requirements will depend on the individual project and may be specified in a quotation, proposal, invoice, agreement, or other written communication.

2. Project Requirements

Before starting a project, clients are responsible for providing accurate information and materials required for the work.

Depending on the project, this may include:

  • Business information

  • Logo and brand materials

  • Text and website content

  • Product information

  • Images and videos

  • Domain and hosting details

  • Required third-party accounts

  • Technical requirements

  • Other necessary project materials

Delays in providing required information, content, approvals, or access may affect the project delivery timeline.

3. Project Scope

Every project is developed according to the agreed scope of work.

Any feature, functionality, design, integration, page, service, or requirement that is not included in the agreed scope may be treated as additional work.

Additional work may require additional charges and may also affect the delivery timeline.

We recommend that clients clearly communicate their requirements before development begins.

4. Pricing and Payment

Project pricing is based on the scope, complexity, technology, features, and resources required for the project.

Payment terms may vary depending on the project.

For custom development projects, Byte Nova IT may require an advance payment before development begins. The remaining payment may be divided into milestones or become due upon completion according to the agreed payment schedule.

Unless otherwise agreed in writing:

  • Payments are expected according to the agreed schedule.

  • Work may be paused if required payments are delayed.

  • Additional features or major changes may require additional payment.

  • Third-party costs may be charged separately where applicable.

All prices and payment terms will be communicated to the client before the relevant service or project begins.

5. Project Timeline and Delivery

Byte Nova IT makes reasonable efforts to complete projects within the agreed timeline.

However, delivery dates may be affected by:

  • Changes in project requirements

  • Delayed client feedback

  • Delayed content or materials

  • Delayed payments

  • Third-party service issues

  • Hosting or server problems

  • API or software dependency changes

  • Technical issues beyond our reasonable control

A project timeline may therefore be adjusted when circumstances reasonably require it.

6. Client Responsibilities

Clients are responsible for providing accurate information, required content, approvals, feedback, and access within a reasonable timeframe.

Clients are also responsible for ensuring that the information, images, documents, software, trademarks, or other materials they provide to Byte Nova IT do not violate the rights of any third party.

Byte Nova IT is not responsible for legal issues arising from materials supplied by a client.

7. Changes and Revisions

We understand that changes may be necessary during a project.

Minor revisions may be included depending on the agreed project scope.

However, significant changes to the original requirements, design, functionality, structure, or technology may be considered additional work.

Additional charges or timeline adjustments may apply depending on the nature of the requested changes.

8. Website and Software Ownership

Ownership of the final website, software, application, design files, source code, or other project materials will depend on the agreement between Byte Nova IT and the client.

Unless otherwise agreed in writing, payment for a project does not automatically transfer ownership of third-party software, frameworks, plugins, libraries, APIs, fonts, stock images, or other materials that are licensed separately.

For custom software development projects, ownership and source-code rights should be clearly defined in the project agreement or proposal.

9. Third-Party Services

Many digital projects depend on third-party services such as:

  • Domain registrars

  • Web hosting providers

  • Payment gateways

  • Google services

  • Meta platforms

  • Cloud services

  • SMS providers

  • Email services

  • APIs

  • Maps and location services

  • Plugins and software libraries

Byte Nova IT may integrate these services where required.

However, we do not control third-party platforms and cannot guarantee their continuous availability, pricing, policies, security, or functionality.

Changes or interruptions to third-party services may affect a project.

10. Domain and Hosting Services

Where Byte Nova IT provides domain registration, web hosting, server, SSL, or related services, these services may be subject to the policies and limitations of the relevant third-party provider.

Clients are responsible for renewing domains, hosting plans, and other subscription-based services unless Byte Nova IT has an active agreement to manage these renewals.

Failure to renew a service on time may result in suspension, expiration, or loss of access to the relevant service.

11. SEO and Digital Marketing Services

SEO and digital marketing involve multiple factors that are outside the direct control of Byte Nova IT.

Search engine rankings, advertising performance, traffic, leads, sales, and conversion rates can be affected by competition, search engine algorithms, market conditions, website quality, content, advertising platforms, and other factors.

Therefore, Byte Nova IT does not guarantee a specific Google ranking, traffic level, lead volume, sales amount, or advertising result unless a specific written agreement states otherwise.

Our SEO and digital marketing services are performed using reasonable professional practices based on the agreed strategy and project requirements.

12. Acceptable Use

Clients must not use any website, software, application, hosting service, or digital solution provided by Byte Nova IT for unlawful or harmful activities.

This includes activities involving:

  • Fraud or scams

  • Malware or malicious software

  • Unauthorized access

  • Copyright infringement

  • Phishing

  • Illegal financial activities

  • Abuse of third-party systems

  • Distribution of unlawful content

If we reasonably believe that a service is being used for unlawful or harmful activities, we may suspend or terminate the relevant service, subject to applicable agreements and laws.

13. Intellectual Property

Byte Nova IT respects intellectual property rights.

Clients must ensure that they have the necessary rights, licenses, or permissions for any content, images, videos, software, trademarks, fonts, documents, or other materials they provide.

Similarly, Byte Nova IT retains rights to its own pre-existing tools, development methods, reusable components, frameworks, templates, processes, and proprietary materials unless otherwise agreed in writing.

14. Confidentiality

Both Byte Nova IT and its clients may receive confidential business, technical, financial, or project information during a professional relationship.

We expect both parties to take reasonable steps to protect confidential information and avoid unauthorized disclosure.

Where required, a separate Non-Disclosure Agreement (NDA) or confidentiality agreement may be signed.

15. Maintenance and Support

Website maintenance, software updates, security monitoring, technical support, backup management, and other ongoing services may be provided separately from the original development project.

Unless specifically included in the project agreement, ongoing maintenance and support are not automatically included after project delivery.

The scope and pricing of maintenance or support services will depend on the relevant agreement.

16. Cancellation and Refunds

Cancellation and refund terms may vary depending on the type of service and project stage.

For custom development projects, payments may cover planning, design, development time, resources, software, infrastructure, or other work already performed.

Therefore, refunds are subject to the agreed payment and project terms.

If a client wishes to cancel a project, they should contact Byte Nova IT as soon as possible so that the situation can be reviewed based on the work completed and the applicable agreement.

17. Service Suspension or Termination

Byte Nova IT may suspend or terminate a service where there is a serious violation of these Terms of Service, non-payment, unlawful activity, misuse of our services, or other circumstances permitted by the applicable agreement.

Where reasonably possible, we may provide notice before suspension or termination.

Termination does not automatically remove payment obligations for work or services already provided.

18. Limitation of Liability

Byte Nova IT will make reasonable efforts to provide professional and reliable services.

However, we are not responsible for losses caused by circumstances outside our reasonable control, including third-party service failures, hosting outages, domain issues, cyber incidents, internet disruptions, platform changes, search engine algorithm updates, or unauthorized actions by users or third parties.

To the extent permitted by applicable law, Byte Nova IT will not be responsible for indirect, incidental, or consequential losses arising from the use of our website or services.

19. Website Content and Accuracy

We make reasonable efforts to keep the information on the Byte Nova IT website accurate and up to date.

However, service descriptions, pricing, availability, technologies, features, and other information may change over time.

Website content is provided for general informational purposes and may not always reflect the exact terms of a particular client project.

The terms contained in a signed agreement, quotation, proposal, or invoice may take precedence for that specific project where applicable.

20. External Links

Our website may contain links to third-party websites and platforms.

These links are provided for convenience or informational purposes.

Byte Nova IT does not control third-party websites and is not responsible for their content, availability, security, policies, or services.

21. Privacy

Your use of our website and services may involve the collection and processing of personal information.

Please review our Privacy Policy to understand how Byte Nova IT collects, uses, and protects personal information.

22. Changes to These Terms

Byte Nova IT may update these Terms of Service from time to time to reflect changes in our services, technology, business practices, or legal requirements.

When changes are made, we will update the "Last Updated" date at the top of this page.

We encourage clients and visitors to review these Terms periodically.

23. Governing Law

These Terms of Service shall be interpreted and applied in accordance with the applicable laws of Bangladesh, unless a separate written agreement between Byte Nova IT and the client provides otherwise.

Any dispute should first be discussed and resolved between the parties through good-faith communication where reasonably possible.
